Give the Neutral a clear job before asking a person to do it.

A Neutral mandate is the operating definition of the engagement. It should state the professional function, the question or process need, the source and limit of authority, who participates, what information may be considered, what output is expected, how confidentiality is handled and where the Neutral's role stops. Good mandate design reduces ambiguity before independence, expertise and professional judgement are tested in a live matter.

THE MANDATE IS THE OPERATING INSTRUMENT

Professional independence becomes easier to protect when the organisation defines the role precisely.

A vague instruction such as “help us resolve this” can conceal very different expectations. One participant may expect facilitation, another a recommendation, another a binding determination. The mandate should remove that ambiguity before work begins.

FUNCTION

Name the professional role.

Mediation, Facilitation, Neutral Evaluation, Expert Determination, Standing Neutral, Neutral Chairing, Ombuds, Arbitration and Dispute Board functions should not be treated as interchangeable labels.

AUTHORITY

Identify who keeps the decision.

State whether authority remains with parties, management, a board or committee, or is validly given to the Neutral for a defined question.

QUESTION

Frame what is actually being referred.

A defined issue, relationship problem, governance process or continuing role needs a clear perimeter so the engagement does not expand by implication.

PROCESS

Design the route without scripting judgement.

Set participants, information flow, meetings, timing, access and administrative mechanics while leaving professional judgement to the independent Neutral.

OUTPUT

State what the work is expected to produce.

An agreement process, independent view, recommendation, determination, chaired record, standing availability or informal navigation channel should be distinguishable from the outset.

BOUNDARY

Write the exclusions as carefully as the powers.

Clarify what the Neutral cannot decide, investigate, disclose, promise, supervise or assume merely because the organisation has engaged an independent professional.

DESIGN BEFORE SELECTION

The matter should shape the mandate. The mandate should shape the search.

Selection becomes more defensible when professional discovery starts from an explicit function and scope rather than from a familiar name, a general reputation or a broad sector label.

Why independent professional capability is being engaged and what organisational need the mandate is intended to address.

The exact Neutral function and whether the Neutral facilitates, evaluates, recommends, determines, chairs, navigates or provides continuing availability.

The questions, relationships, business units, agreements, periods or issues included—and those expressly left outside the engagement.

Who may participate, who instructs administratively, what information may be shared and whether separate channels are contemplated.

Meetings, submissions, access, sequencing, milestones and any mechanism for reasonable procedural adjustment by the Neutral.

What the engagement may produce and whether that output is advisory, facilitative, determinative, contractual, informal or otherwise defined.

AUTHORITY TEST

The most important sentence in many mandates is the sentence that says what the Neutral cannot decide.

Independence does not itself create authority. Authority must come from the valid agreement, rule, governing instrument or retained decision-making structure that applies to the engagement.

MAKE EXPRESS

Give the Neutral enough space to perform the role.

  • Procedural discretion reasonably needed for the professional function.
  • Access to the participants and information contemplated by the mandate.
  • Ability to raise independence or conflict concerns as they arise.
  • Authority to request clarification where the defined question is unclear.
  • Ability to stop, pause or seek directions where the mandate becomes unworkable.
DO NOT CREATE BY ACCIDENT

Do not let administrative convenience become substantive control.

  • Do not imply management may direct the Neutral's professional conclusion.
  • Do not turn a facilitator or mediator into an undisclosed decision-maker.
  • Do not turn an evaluator into a binding expert without a valid source of authority.
  • Do not promise confidentiality, privilege or anonymity more broadly than the applicable framework permits.
  • Do not enlarge jurisdiction, legal powers or investigative authority through website language or informal instructions.
OUTPUT ARCHITECTURE

Design the output so everyone understands what happens after the Neutral acts.

Outputs can inform, facilitate, record, recommend, determine or decide. Their legal and organisational status should not be left to implication.

ADVISORY

Independent view

A reasoned assessment or evaluation intended to inform another decision-maker, without displacing that person's or body's retained authority.

FACILITATIVE

Process movement

A structured process that improves participation, understanding, negotiation or decision readiness while leaving substantive outcomes with participants.

NEGOTIATED

Agreement pathway

A mediation process in which the Neutral assists negotiation but the parties determine whether settlement occurs and on what terms.

DETERMINATIVE

Defined answer

An expert or other validly authorised Neutral determines a bounded question under the authority created by the governing arrangement.

CONTINUING

Standing capability

The output may be continuing availability, familiarisation and staged activation rather than a single report or decision.

INSTITUTIONAL

Independent channel or chairing

The mandate may create process confidence, informal navigation, systemic insight or independent meeting control without transferring the institution's substantive authority.

CONFIDENTIALITY BY DESIGN

Decide who needs to know what, and at which stage, before the intake becomes detailed.

Conflict checking often requires less information than full mandate performance. Sensitive facts should be staged so the organisation does not disclose more than is reasonably required before professional clearance.

DISCLOSURE SEQUENCE

Identity and conflict data first. Substantive matter detail only when the engagement is ready for it.

The exact sequence will depend on the role, governing framework and matter. The institutional design principle is simple: confidentiality should be an operating architecture, not a reassuring sentence added at the end.

Before issuing an appointment, test whether the draft can survive a disagreement about what the Neutral was meant to do.

The best readiness test is not whether the mandate looks complete. It is whether different participants reading it independently would reach the same conclusion about role, authority, scope, process and output.
